DUTIES OF OFFICERS, MEMBERS, EMPLOYEES AND AGENTS The duties of the officers, members, employees, and agents shall be defined
by state law and by board bylaws, policies, and regulations. It shall be the duty of the president to preside at all meetings of the board, preserve order, enforce rules, sign all bonds, letters, agreements, deeds, and leases ordered to be executed by the board; and appoint the chairpersons and members of standing and ad hoc committees. The president of the board shall serve as an ex officio member of any and all standing and ad hoc committees of the board. The president shall appoint the board’s representative to professional organizations in which the board holds membership. It shall also be the duty of the president to act as ex officio member of the Board of Trustees of the Missouri Botanical Garden, pursuant to the provisions of the last will and testament of the late Henry Shaw. It shall also be the duty of the president each year immediately after the selection of a depository of the Board of Education for the succeeding year, to notify the treasurer of the State of Missouri and the collector of revenue of the City of St. Louis to make all payments of money apportioned, belonging or distributed to this board to said depository as indicated by board approval. Vice President In the absence of the president, the vice president shall serve as president pro tem and perform the duties of the president. In case of a vacancy in the presidency through death, disability, absence
from the country, or other situations rendering the elected president
unable or unavailable to perform the duties of the office, the vice president
shall serve as president pro tem until the president resumes the office
or the board declares the office vacant and elects a president to serve
out the term. In the event of vacancies in the offices of both president and vice president,
or in the event of absence or disability on the part of both president
and vice president, the immediate past-president shall serve as president
pro tem and shall perform all the duties of the president. In the absence
of the immediate past-president, the next preceding past-presidents shall
serve in the reverse order of their service as president. The secretary shall execute such documents and perform such acts as are required to be executed and performed only by an officer appointed by and directly responsible to the board. The secretary shall have custody of the books of record of board proceedings, and perform such other duties as the law requires and the board assigns. The secretary shall promptly furnish copies of all communications directed to the board to each board member. Whenever possible, such copies should be furnished in time to be presented for board action, if appropriate, at the next scheduled administrative, regular business, or special board meeting. It shall also be the duty of the secretary to cause written responses to be made to questions or requests for information made by speakers at board meetings, when such questions or requests are not answered at the meeting. The board may select and employ legal counsel at such times and in such manner as it deems appropriate. Legal counsel shall represent the board in all litigation and legal proceedings in which the board is involved. Legal counsel shall advise the board, the superintendent, and the superintendent's staff on Board of Education legal matters. Legal counsel shall represent the superintendent in employee and student disciplinary hearings and shall perform such other duties of a legal nature as are assigned by the board and the superintendent. A decision to seek legal counsel or advice on behalf of the school district shall normally be made by the superintendent or persons specifically authorized by the superintendent. It may also take place as a consequence of formal board direction. With respect to board bylaws, policies, and regulations, individual board members are authorized to submit proposals as set forth in board Bylaw B9310. However, any request for legal assistance in drafting such a proposal before submittal to the board must be made through the board president or with a vote of the majority of the board members present and voting at a meeting of the board. Any request of the legal counsel by individual board members for substantive legal research projects or investigations must be made through the board president or with a vote of the majority of the board members present and voting at a meeting of the board.
